The Law Firm of Wohl & Fruchter Commences Investigation into the Acquisition of Harris Teeter Supermarkets, Inc. by The Kroger Co.
On July 9, 2013, Harris Teeter announced that Kroger will acquire all of the outstanding shares of Harris Teeter for $49.38 per share in cash. The acquisition price is a premium of less than 2% over the closing price of HTSI stock on July 8, 2013.
Kroger stated that Harris Teeter will continue to be led by its top management.
Wohl & Fruchter's investigation concerns the potential unfairness of the consideration being provided to Harris Teeter shareholders, and the terms of the acquisition, and whether the transaction was motivated by conflicts of interest.
