Law Offices of Howard G. Smith Announces Investigation of Flow International Corporation

BENSALEM, Pa.--(BUSINESS WIRE)-- Law Offices of Howard G. Smith announces that it is investigating potential claims against the Board of Directors of Flow International Corporation ("Flow" or the "Company") (NAS: FLOW) related to the proposed acquisition of the Company by American Industrial Partners. The transaction is valued in excess of $200 million, and under the terms of the deal shareholders of the Company will receive $4.05 in cash for each share of Flow common stock owned.

This investigation concerns whether the Board of Directors of Flow breached their fiduciary duties to stockholders by failing to adequately shop the Company before agreeing to enter into the proposed transaction, and whether the Company has disclosed all material information to shareholders about the transaction. The Company has seen substantial recent growth. Its share price has skyrocketed from $2.93 on November 16, 2012 to $3.73 on September 24, 2013.
