Mad Catz^®Reports Annual and Special Meeting of Shareholders Voting Results

SAN DIEGO--(BUSINESS WIRE)-- Mad Catz Interactive, Inc. ("Mad Catz") (NYSE MKT/TSX: MCZ) announced today the voting results of the 2013 Annual and Special Meeting of Shareholders held on Thursday, September 12, 2013 (the "Meeting"), in accordance with the requirements of the Toronto Stock Exchange. All matters set out in the Management Proxy Circular and Proxy Statement dated July 29, 2013 for the Meeting were approved by the shareholders. In addition, the four Board of Director nominees were elected. The results of the votes for Directors were as follows:

Following the Meeting, Mr. Molyneux offered his resignation for consideration by the Board in accordance with the Company's director majority voting policy. Pursuant to the policy, the Board will consider Mr. Molyneux's offer of resignation in light of all relevant circumstances. The Board will announce the results of its consideration at a future date.

Detailed voting results will be filed on a Current Report on Form 8-K with the U.S. Securities and Exchange Commission and on SEDAR (System for Electronic Document Analysis and Retrieval operated by the Canadian Securities Administrators).
