EVERTEC Announces Pricing of Public Offering by Selling Stockholders

SAN JUAN, Puerto Rico--(BUSINESS WIRE)-- EVERTEC, Inc. (NYS: EVTC) ("EVERTEC" or the "Company") announced today the pricing of a previously announced underwritten public offering of 20,000,000 shares of its common stock by an affiliate of Apollo Global Management, LLC ("Apollo"), Popular, Inc., and certain officers and current and former employees of the Company (collectively, the "Selling Stockholders") at a price to the public of $22.50 per share (the "Offering Price"). The underwriters of the offering will have a 30-day option to purchase up to an additional 3,000,000 shares of common stock from Apollo at the Offering Price, less underwriting discounts and commissions. The Selling Stockholders will receive all of the proceeds from the offering. The offering is expected to close on or about September 18, 2013, subject to customary closing conditions.

Goldman, Sachs & Co., J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC, Deutsche Bank Securities Inc., BofA Merrill Lynch, Credit Suisse Securities (USA) LLC and UBS Securities LLC are acting as joint bookrunners for the offering. William Blair & Company, L.L.C., Apollo Global Securities, LLC and Popular Securities, Inc. are acting as co-managers for the offering.
