CSG Systems Adjusts Convertible Debt Conversion Rate As A Result of Dividend

ENGLEWOOD, Colo.--(BUSINESS WIRE)-- CSG Systems International, Inc. (NASDAQ: CSGS), a global provider of software and services-based business support solutions (BSS) announced that as a result of its third quarter dividend of $0.15 per share on its common stock, it will adjust the conversion rate for its outstanding 3.0% Senior Subordinated Convertible Notes issued in March 2010 (the "2010 Convertible Notes"). The adjustments are made in accordance with the terms of the Indenture Agreement.

CSG's 2010 Convertible Notes (CUSIP Number 126349 AC3) mature on March 1, 2017 and the original $150,000,000 aggregate principal amount remains outstanding. Effective September 6, 2013, the conversion rate for the 2010 Convertible Notes of 41.1794 shares of CSG common stock for each $1,000 in principal amount of the 2010 Convertible Notes (equivalent to a conversion price of $24.28 per share of CSG common stock) has been adjusted to 41.4371 shares for each $1,000 in principal amount of 2010 Convertible Notes (equivalent to a conversion price of approximately $24.13 per share of CSG common stock, compared to the previous amount prior to this adjustment of $24.28 per share).
