MetLife Prices Remarketing of Series D Senior Debentures
NEW YORK--(BUSINESS WIRE)-- MetLife, Inc. (NYS: MET) announced today the pricing of its remarketing of $999,886,000 aggregate principal amount of its 4.368% Series D Senior Debentures. The Series D Senior Debentures originally formed part of MetLife's 40 million common equity units, which were issued in November 2010 in connection with MetLife's acquisition of American Life Insurance Company and Delaware American Life Insurance Company.
Following the settlement of the remarketing, effective September 11, 2013, the stated maturity of the Series D Senior Debentures will be September 15, 2023. Proceeds of the remarketing, net of the remarketing agents' fees, will be paid to the holders of the common equity units who participated in the remarketing. MetLife, Inc. will ultimately receive $1 billion in the aggregate, from the proceeds of the remarketing and from holders that elected not to participate in the remarketing, in return for delivering newly-issued shares of MetLife common stock to all holders of common equity units upon settlement of the related stock purchase contracts.
