("HMA" or the "Company") (NYS: HMA) in connection with their conduct related to the sale of the Company to Community Health Systems, Inc. ("Community") (NYSE:CYH). Under the terms of the proposed transaction, shareholders of HMA will receive $10.50 in cash and 0.06942 shares of Community for each share of HMA common stock that they own, representing an implied price per share of approximately $13.78 per HMA share based on Community's July 29, 2013 closing price.
