U.S. Silica Announces Pricing of Secondary Offering

FREDERICK, Md.--(BUSINESS WIRE)-- U.S. Silica Holdings, Inc. (NYS: SLCA) today announced the pricing of an underwritten secondary public offering of 12,000,000 shares of U.S. Silica common stock at $19.60 per share. The shares are being sold by GGC USS Holdings, LLC, an affiliate of Golden Gate Capital, an existing stockholder of the Company.

U.S. Silica is not selling any shares and will not receive any proceeds from the offering. In connection with the offering, the selling stockholder has granted the underwriters a 30-day option to purchase an additional 1,800,000 shares in the offering. The offering is expected to close on June 11, 2013.


Morgan Stanley & Co. LLC, BofA Merrill Lynch, Simmons & Company International, Jefferies LLC and Wells Fargo Securities, LLC are acting as joint book-running managers for the offering.
