MoSys Announces Exercise of Underwriters' Over-Allotment Option

SANTA CLARA, Calif.--(BUSINESS WIRE)-- MoSys, Inc. (NAS: MOSY) today announced that the underwriters of its previously announced public offering of common stock have exercised in full their over-allotment option to purchase an additional 975,000 shares of common stock at the public offering price of $4.00 per share, less underwriting discounts and commissions. Proceeds from the exercise of the option will be approximately $3.6 million, after deducting underwriting discounts and commissions and other offering expenses payable by the company. The closing of the over-allotment option exercise is expected to occur on June 7, 2013, subject to customary closing conditions.

Roth Capital Partners is acting as the sole book-running manager of the offering, and The Benchmark Company and Feltl and Company are acting as co-managers.


As previously announced, the company intends to use the net proceeds from the offering, including the net proceeds from the exercise of the over-allotment option, for working capital and general corporate purposes.
