The complaint alleges that the defendants made materially false and misleading statements concerning the Company's business and operations. In particular, it is alleged that the Company misrepresented and/or failed to disclose that: (a) the Company had engaged in potentially illegal transactions involving certain private placements and related party transactions since 2006; and (b) the Company received subpoenas from the U.S. Attorney's office investigating potential securities fraud involving transactions dating back to 2006.

On March 18, 2013, the Company disclosed it was under investigation by the U.S. Attorney's office, and announced the receipt of related subpoenas. The Company also announced that it was conducting an internal investigation regarding these transactions.
