("NFP" or the "Company") (NYS: NFP) for possible breaches of fiduciary duty and other violations of state law in connection with their attempt to complete a sale of the Company to Madison Dearborn Partners LLC ("Madison")in a transaction valued at approximately $1.3 billion. Pursuant to the terms of the proposed transaction, NFP shareholders are to receive $25.35 in cash for each share.
