Under the terms of the proposed deal valued at approximately $665.5 million, Duff shareholders will only receive $15.55 in cash for each share of Duff stock owned, well below at least one analyst's estimated value of $24.00 per share and the 52 week high of $16.50 per share.

The Duff sale investigation centers on whether Duff's shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues Duff's stock, and whether Duff's board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal. Notably, according to at least one analyst with Yahoo! Finance, the true inherent value of Duff could be as high as $24.00 per share.
