First PacTrust Bancorp, Inc. Completes Sale of $45 Million of Senior Notes

IRVINE, Calif.--(BUSINESS WIRE)-- First PacTrust Bancorp, Inc. (the "Company") (NAS: BANC) , the holding company for Pacific Trust Bank and Beach Business Bank, announced today the closing of its sale of $45 million aggregate principal amount of 7.50% Senior Notes due April 15, 2020 (the "Notes"). Net proceeds after discounts, commissions and expenses, and exclusive of accrued interest on the Notes from October 15, 2012 and the underwriters' over-allotment option, were approximately $43.1 million. In addition, the underwriters have exercised in full their over-allotment option in respect of an additional $6.75 million aggregate principal amount of the notes (the "Over-Allotment Notes"). Net proceeds in respect of the sale of the Over-Allotment Notes, after discounts, commissions and expenses, and exclusive of accrued interest from October 15, 2012, are expected to be approximately $6.5 million. The net proceeds of the Notes and the Over-Allotment Notes are expected to be used for possible acquisitions, support of organic growth, investments in, or extensions of credit to, the Company's subsidiaries, investments in securities and for general corporate purposes. The offering constituted a reopening of the offering of $33,000,000 aggregate principal amount of 7.50% Senior Notes due April 15, 2020 issued by the Company on April 23, 2012.


UBS Securities LLC and Raymond James & Associates, Inc. acted as joint book-running managers for the offering. D.A. Davidson & Co. acted as lead manager and Sterne, Agee & Leach, Inc. and Wunderlich Securities, Inc. acted as co-managers for the offering. Wachtell, Lipton, Rosen & Katz served as outside legal counsel to the Company.
