ATLANTA--(BUSINESS WIRE)-- Holzer Holzer & Fistel, LLC is investigating whether VeriSign, Inc. ("VeriSign" or the "Company") (NAS: VRSN) and/or its officers or directors have violated the federal securities laws. The investigation focuses on whether a series of statements made between June 25, 2012 and October 25, 2012, inclusive regarding the Company's business, its prospects and its operations were materially false and misleading at the time they were made. On October 25, 2012, the Company announced its financial results for its third quarter of 2012 and revealed that the Department of Justice was reviewing VeriSign's domain name pricing arrangements and VeriSign believed it would be unlikely to receive approval of the new agreement before it expired. VeriSign also disclosed that its quarterly sales were negatively impacted by the non-renewal of certain domain names following industry efforts to eliminate "parking" and other dubious websites from search engine results, and it lowered its 2012 revenue outlook. VeriSign's stock price declined significantly on the announcement.
