Under the proposed cash-and-stock deal valued at approximately $148.8 million, Outdoor shareholders will only receive either $8.00 in cash or one share of stock in InterMedia for each share of Outdoor owned, well below at least one analyst's estimated value of $9.00 per share.

The Outdoor sale investigation centers on whether Outdoor's shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues Outdoor's stock, and whether Outdoor's board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal.
