KBW Investor Alert: Briscoe Law Firm and Powers Taylor, LLP Investigate Sale to Stifel Financial

DALLAS--(BUSINESS WIRE)-- Former United States Securities and Exchange Commission attorney Willie Briscoe and the securities litigation firm of Powers Taylor, LLP are investigating the sale of KBW, Inc. ("KBW") (NYS: KBW) to Stifel Financial for shareholders. Under the proposed deal valued at approximately $575 million, KBW shareholders will only receive consideration of $17.50 per share of KBW stock owned, comprised of $10.00 per share in cash and $7.50 per share of Stifel common stock. Notably, the proposed sale price is well below at least one analyst's estimated value of $22.00 per share.

The KBW sale investigation centers on whether KBW's shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues KBW's stock, and whether KBW's board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal. According to an analyst with Yahoo! Finance, the true inherent value of KBW could be as high as $22.00 per share, well above the proposed price of $17.50.
