DALLAS--(BUSINESS WIRE)-- Former United States Securities and Exchange Commission attorney Willie Briscoe and the securities litigation firm of Powers Taylor, LLP are investigating the sale of OPNET Technologies, Inc. ("OPNET") (NasdaqGS: OPNT) to Riverbed Technology, Inc. for shareholders. Under the proposed sale, OPNET shareholders will receive approximately $43 in cash and stock for each share of OPNET stock owned in a deal valued at approximately $921 million. Specifically, OPNET shareholders will receive only 0.2774 shares of Riverbed common stock plus $36.55 in cash for each share of OPNET stock owned.

The OPNET sale investigation centers on whether OPNET shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues OPNET stock, and whether OPNET's board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal. Shareholder rights attorney Willie Briscoe stated that "because OPNET shareholders will receive a combination of cash and Riverbed common stock for their shares, we believe that the transaction may undervalue OPNET stock.
