("Versant") (NasdaqCM: VSNT) to UNICOM Systems, Inc. for shareholders. Under the proposed transaction, Versant shareholders will receive only $11.50 in cash for each share of VSNT stock owned (well below at least the 52-week high of $12.73 per share) in a deal valued at approximately $32 million.

The Versant sale investigation centers on whether Versant shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues Versant stock, and whether Versant's board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal.
