Universal Power Group to Host Annual Meeting of Shareholders on October 23, 2012
Receives Letter from NYSE Regarding Timely Notice of Record Date
CARROLLTON, Texas--(BUSINESS WIRE)-- Universal Power Group, Inc. (NYSE MKT: UPG), a Texas-based distributor and supplier of batteries and related power accessories, and a third-party logistics provider, today announced that its 2012 Annual Meeting of Shareholders is scheduled to be held on Tuesday, October 23, 2012 beginning at 10 a.m. Pacific Time, for shareholders of record as of the close of business on September 11, 2012. The meeting will be held at the Intercontinental Los Angeles Century City located at 2151 Avenue of the Stars, Los Angeles, California 90067.
UPG also reported it had received a letter, dated September 26, 2012, from the New York Stock Exchange Regulation department informing UPG that it had provided late notification to NYSE MKT of the "record date" for this meeting.
A company listed on NYSE MKT is required to provide the exchange with notice of the record date for its annual shareholders' meeting at least 10 days prior to the record date. UPG provided late notice of the record date to NYSE MKT. As a result, UPG did not comply with Section 703 of the NYSE MKT Company Guide (the "Company Guide").
Promptly after the issuance of this press release, UPG will file a Current Report on Form 8-K with the U.S. Securities and Exchange Commission related to this matter. NYSE MKT advised UPG that, pursuant to Section 401(j) of the Company Guide, it was required to issue a news release in respect to this matter.
