The Amendment to the Take-Two Interactive Software, Inc. 2009 Stock Incentive Plan to increase the available shares reserved thereunder;
The Amendment to the Restated Certificate of Incorporation of the Company to increase the number of authorized shares of common stock from 150 million to 200 million;
The advisory vote to approve the compensation of the named executive officers; and
The appointment of Ernst & Young LLP as its independent registered public accounting firm for the fiscal year ending March 31, 2013.
