("Ramtron") (NASDAQGM: RMTR) to Cypress Semiconductor for shareholders. Under the proposed transaction, Ramtron shareholders will receive only $3.10 in cash for each share of Ramtron stock owned (well below at least one analyst's estimate of $4.00 per share) in a deal valued at approximately $110 million.

The investigation centers on whether Ramtron shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues Ramtron stock, and whether Ramtron's board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal. According to at least one analyst with Yahoo! Finance, the true inherent value of Ramtron shares could be as high as $4.00 per share, well above the proposed sale price. Our lawsuit will seek to obtain the highest share price for all shareholders."
