Law Firm Brower Piven Announces Investigation of Taylor Capital Group, Inc. Proposed Merger

STEVENSON, Md.--(BUSINESS WIRE)-- The securities litigation firm of Brower Piven, A Professional Corporation, has commenced an investigation into possible breaches of fiduciary duty to current shareholders of Taylor Capital Group, Inc. ("Taylor Capital" or the "Company") (NAS: TAYC) and other violations of state law by the board of directors of Taylor Capital relating to the proposed merger of the Company with MB Financial, Inc. The firm's investigation seeks to determine, among other things, whether the board of directors of Taylor Capital breached their fiduciary duties by failing to maximize shareholder value.

According to the press release announcing the proposed merger, Taylor Capital shareholders will receive (1) 0.64318 shares of MB Financial common stock and (2) $4.08 in cash for each share of Taylor Capital common stock they own. According to the press release, at the time of the announcement the merger consideration value was approximately $22.00 per Taylor Capital share.
